BY SUBSCRIBING TO AND PAYING FOR DISPATCHHUB, YOU ACKNOWLEDGE THAT YOU HAVE
READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS
SET FORTH IN THIS AGREEMENT.

Your payment constitutes acceptance of these Terms and Conditions. If you do
not agree to these terms, you must not use the Service and should not complete
payment.

1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding
agreement between you ("User," "you," or "your") and Duck Programs Inc.
("Company," "we," "us," or "our") governing your access to and use of
DispatchHub (the "Service"), including the website located at dispatchhub.io
and all related applications, APIs, and services.

By creating an account, accessing the Service, or making a payment, you
represent that:

- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using the Service under applicable law
- All information you provide is accurate and truthful

2. DESCRIPTION OF SERVICE

DispatchHub is a software-as-a-service (SaaS) platform that enables users to
create, manage, and deliver dispatch announcements through various output
methods, including but not limited to:

- Text-to-speech audio generation
- Integration with Zello communication platforms
- Radio-over-IP (RoIP) systems
- Webhook notifications
- Other communication channels as made available

The Service is provided on a subscription basis with usage quotas and
limitations based on your selected plan. We reserve the right to modify,
enhance, or discontinue features at our discretion.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 ACCOUNT CREATION

To use DispatchHub, you must create an account by providing accurate and
complete information. You are responsible for maintaining the confidentiality
of your account credentials.

3.2 ACCOUNT RESPONSIBILITY

- You are solely responsible for all activities that occur under your account
- You must immediately notify us of any unauthorized access or security breach
- You may not share your account credentials with others
- You may not create multiple accounts to circumvent usage limits
- You may not transfer or sell your account to another party

3.3 ACCOUNT TERMINATION

We reserve the right to suspend or terminate your account at any time for
violations of these Terms, fraudulent activity, non-payment, or any other
reason at our sole discretion.

4. SUBSCRIPTION, BILLING, AND PAYMENT TERMS

4.1 SUBSCRIPTION PLANS

DispatchHub offers various subscription tiers with different usage quotas,
features, and pricing. Pricing and plan details are available on our website
at dispatchhub.io.

We reserve the right to modify pricing, add new tiers, or change plan features
with 30 days' notice to existing subscribers.

4.2 PAYMENT AUTHORIZATION

*** BY COMPLETING PAYMENT, YOU EXPRESSLY AGREE TO ALL TERMS AND CONDITIONS IN
THIS AGREEMENT. Your payment authorization serves as your electronic signature
and binding acceptance of these Terms. ***

All payments are processed securely through Stripe. You authorize us to charge
your payment method on a recurring basis according to your selected billing
cycle.

4.3 BILLING CYCLE

- Subscriptions are billed monthly in advance
- Your billing cycle begins on the date of your initial subscription
- Automatic renewal occurs unless you cancel before the next billing date
- Usage quotas reset at the beginning of each billing cycle

4.4 USAGE QUOTAS AND OVERAGE

Each subscription tier includes specific monthly quotas for dispatches, TTS
characters, and other resources. If you exceed your quota:

- Your service may be temporarily restricted until the next billing cycle
- You may be required to upgrade to a higher tier
- We may, at our discretion, allow temporary overage with additional charges

4.5 PAYMENT METHOD

You must provide a valid payment method and maintain current billing
information. If your payment fails:

- We will attempt to notify you and retry the charge
- Your service may be suspended after 7 days of non-payment
- Your account may be terminated after 30 days of non-payment
- You remain responsible for all outstanding charges

5. REFUND POLICY AND THIRD-PARTY SERVICE LIMITATIONS

5.1 NO REFUNDS FOR THIRD-PARTY SERVICE ISSUES

*** DISPATCHHUB DOES NOT PROVIDE REFUNDS FOR SERVICE INTERRUPTIONS, ERRORS, OR
FAILURES CAUSED BY THIRD-PARTY SERVICES, PLATFORMS, OR INTEGRATIONS. ***

This includes but is not limited to:

- Zello service outages, maintenance, or API changes
- Radio-over-IP system failures or connectivity issues
- Google Cloud Platform disruptions or downtime
- Firebase authentication or database issues
- Stripe payment processing delays
- Internet service provider outages affecting connectivity
- Changes to third-party APIs that affect integration functionality
- Deprecation or discontinuation of third-party services

5.2 LIMITED REFUND CIRCUMSTANCES

Refunds may be considered ONLY in the following limited circumstances, at our
sole discretion:

- Demonstrable failure of DispatchHub's core functionality caused exclusively
  by our software
- Duplicate billing errors that are our fault
- Service was charged after confirmed cancellation

Refund requests must be submitted within 7 days of the billing date. We do not
provide partial refunds for unused portions of a billing cycle.

5.3 NO REFUNDS FOR USER ERROR

We do NOT provide refunds for:

- User configuration errors or incorrect settings
- Failure to properly integrate with third-party services
- Dissatisfaction with features or functionality
- Change of mind after subscribing
- Inability to use the Service due to lack of technical knowledge
- Issues with your own equipment or internet connection

6. THIRD-PARTY SERVICES AND INTEGRATIONS

6.1 NO AFFILIATION WITH THIRD PARTIES

*** DISPATCHHUB AND DUCK PROGRAMS INC. ARE NOT AFFILIATED WITH, ENDORSED BY,
SPONSORED BY, OR CONNECTED TO ZELLO OR ANY OTHER THIRD-PARTY SERVICE
PROVIDER. ***

We are an independent software provider that offers integration capabilities
with third-party platforms. Any references to third-party services are for
descriptive purposes only and do not imply endorsement or partnership.

6.2 THIRD-PARTY TERMS AND POLICIES

When you integrate DispatchHub with third-party services, you are also subject
to those services' terms of service, privacy policies, and acceptable use
policies. You are responsible for:

- Reading and accepting third-party terms of service
- Maintaining valid accounts and subscriptions with third-party providers
- Complying with third-party usage policies and restrictions
- Resolving billing or technical issues directly with third-party providers

6.3 NO RESPONSIBILITY FOR THIRD-PARTY ACTIONS

*** WE TAKE NO RESPONSIBILITY FOR: ***

- The availability, reliability, or performance of third-party services
- Changes to third-party APIs, pricing, or functionality
- Data breaches, security incidents, or privacy violations by third parties
- Termination or suspension of your third-party accounts
- Incompatibility issues arising from third-party updates
- Loss of functionality due to third-party service discontinuation
- Any damages, losses, or expenses resulting from third-party service issues

6.4 SERVICE COMPATIBILITY

We make reasonable efforts to maintain compatibility with third-party services,
but we cannot guarantee uninterrupted compatibility. Third-party providers may
change their APIs or policies without notice, which may affect DispatchHub
functionality. We are not liable for such changes.

7. FCC COMPLIANCE AND RADIO COMMUNICATIONS RESPONSIBILITY

7.1 USER RESPONSIBILITY FOR FCC COMPLIANCE

*** IF YOU USE DISPATCHHUB WITH RADIO-OVER-IP (ROIP) SYSTEMS, VHF/UHF RADIOS,
OR ANY FCC-REGULATED EQUIPMENT, YOU ARE SOLELY, EXCLUSIVELY, AND COMPLETELY
RESPONSIBLE FOR COMPLIANCE WITH ALL FEDERAL COMMUNICATIONS COMMISSION (FCC)
RULES AND REGULATIONS. ***

7.2 FCC LICENSING REQUIREMENTS

By using DispatchHub with radio communications equipment, you represent,
warrant, and agree that:

- You possess all necessary FCC licenses (Part 90 commercial radio licenses,
  amateur radio licenses, or other applicable authorizations) required for
  your radio operations
- Your FCC licenses are current, valid, and in good standing
- You will operate radio equipment only within the frequencies, power levels,
  and geographic areas authorized by your FCC license
- You will comply with all FCC identification, logging, and recordkeeping
  requirements
- You will adhere to FCC restrictions on transmission content and prohibited
  communications
- You will not cause harmful interference to other radio services
- You will maintain proper station identification as required by FCC rules

7.3 DISPATCHHUB'S ROLE AND LIMITATIONS

*** DISPATCHHUB IS A SOFTWARE PLATFORM THAT FACILITATES MESSAGE DELIVERY. WE:

- DO NOT hold, apply for, or manage FCC licenses on your behalf
- DO NOT monitor your radio transmissions for FCC compliance
- DO NOT verify that you possess required FCC licenses
- DO NOT provide legal advice or guidance regarding FCC regulations
- DO NOT assume any responsibility for your compliance with FCC rules
- CANNOT prevent you from violating FCC regulations through misuse of the
  Service

7.4 NO RESPONSIBILITY FOR FCC VIOLATIONS

*** DUCK PROGRAMS INC. AND DISPATCHHUB TAKE NO RESPONSIBILITY FOR ANY FCC
VIOLATIONS, ENFORCEMENT ACTIONS, FINES, PENALTIES, OR LEGAL CONSEQUENCES
ARISING FROM YOUR USE OF THE SERVICE. ***

This includes but is not limited to:

- Operating without a valid FCC license
- Transmitting on unauthorized frequencies
- Exceeding authorized power limits
- Causing harmful interference to other services
- Violating FCC content restrictions
- Failure to properly identify your station
- Any other violation of Part 90, Part 97, or other FCC rules

7.5 FCC ENFORCEMENT AND PENALTIES

You acknowledge that FCC violations can result in severe consequences,
including:

- Monetary forfeitures (fines) up to $10,000 per violation or more
- License revocation or suspension
- Criminal prosecution for willful or repeated violations
- Equipment seizure
- Cease and desist orders

*** You accept full personal and financial responsibility for any such
consequences. ***

7.6 INDEMNIFICATION FOR FCC ISSUES

You agree to indemnify, defend, and hold harmless Duck Programs Inc.,
DispatchHub, and their officers, directors, employees, contractors, and agents
from and against any and all claims, demands, damages, losses, liabilities,
costs, and expenses (including reasonable attorneys' fees and legal costs)
arising from or related to:

- Your violation of FCC rules or regulations
- FCC enforcement actions taken against you
- Third-party claims arising from your radio transmissions
- Harmful interference caused by your radio operations
- Any investigation or proceeding related to your FCC compliance

8. ACCEPTABLE USE POLICY

8.1 PROHIBITED ACTIVITIES

You agree NOT to use DispatchHub for any of the following purposes:

- Any illegal activities or violations of local, state, federal, or
  international law
- Transmitting threatening, harassing, defamatory, or obscene content
- Spamming or sending unsolicited commercial messages
- Impersonating any person or entity or falsely representing affiliation
- Interfering with or disrupting the Service or connected networks
- Attempting to gain unauthorized access to systems or accounts
- Reverse engineering, decompiling, or disassembling the Service
- Reselling or redistributing the Service without authorization
- Using the Service in any manner that violates third-party rights
- Automating access to the Service to exceed usage quotas

8.2 CONTENT RESPONSIBILITY

You are solely responsible for all content you create, transmit, or distribute
using DispatchHub. We do not pre-screen content but reserve the right to
review and remove content that violates these Terms.

8.3 ENFORCEMENT

Violation of this Acceptable Use Policy may result in immediate suspension or
termination of your account without refund, and we may report illegal
activities to law enforcement.

9. INTELLECTUAL PROPERTY RIGHTS
================================================================================

9.1 OUR INTELLECTUAL PROPERTY

DispatchHub, including all software, code, designs, logos, trademarks, and
content, is the exclusive property of Duck Programs Inc. and is protected by
copyright, trademark, and other intellectual property laws. You receive a
limited, non-exclusive, non-transferable license to use the Service in
accordance with these Terms.

9.2 YOUR CONTENT

You retain ownership of all content you create using DispatchHub (dispatch
messages, audio files, etc.). However, you grant us a worldwide, royalty-free
license to store, process, and transmit your content as necessary to provide
the Service.

9.3 TRADEMARKS

"DispatchHub" and associated logos are trademarks of Duck Programs Inc. All
third-party trademarks (including "Zello") are the property of their
respective owners and are used for identification purposes only.

10. SERVICE AVAILABILITY AND SUPPORT

10.1 SERVICE LEVEL

We strive to maintain high service availability but do NOT guarantee
uninterrupted, error-free, or 100% uptime. The Service is provided "AS IS"
without warranties of any kind.

10.2 MAINTENANCE AND DOWNTIME

- We may perform scheduled maintenance with reasonable advance notice
- Emergency maintenance may occur without notice
- We are not liable for downtime during maintenance periods

10.3 SUPPORT

Technical support is provided via email at [email protected]. We aim to
respond within 48 hours during business days but do not guarantee specific
response times. Phone support is not available.

11. DATA PRIVACY AND SECURITY

Our collection, use, and protection of your personal information is governed
by our Privacy Policy, which is incorporated into these Terms by reference. By
using DispatchHub, you also agree to our Privacy Policy available at

While we implement security measures, we cannot guarantee absolute security.
You use the Service at your own risk and are responsible for maintaining the
security of your account credentials.

12. DISCLAIMERS AND LIMITATION OF LIABILITY

ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. ***

Duck Programs Inc. makes no warranties that:

- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
- Third-party integrations will continue to function

12.2 LIMITATION OF LIABILITY

*** TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DUCK
PROGRAMS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING
BUT NOT LIMITED TO: ***

- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
- FCC fines, penalties, or enforcement actions
- Costs of procurement of substitute services
- Damages arising from third-party service failures

*** WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY
OTHER LEGAL THEORY, AND WHETHER OR NOT DUCK PROGRAMS INC. HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES. ***

12.3 MAXIMUM LIABILITY CAP

*** IN NO EVENT SHALL DUCK PROGRAMS INC.'S TOTAL LIABILITY TO YOU FOR ALL
DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE
TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100),
WHICHEVER IS LESS. ***

12.4 BASIS OF THE BARGAIN

You acknowledge that the limitations in this section are fundamental elements
of the agreement between you and Duck Programs Inc., and that we would not
provide the Service at the current pricing without these limitations.

You agree to indemnify, defend, and hold harmless Duck Programs Inc.,
DispatchHub, and their respective officers, directors, employees, contractors,
agents, licensors, and suppliers from and against any and all claims, actions,

reasonable attorneys' fees and legal costs) arising from or related to:

- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of FCC rules or regulations
- Your violation of third-party rights
- Content you create, transmit, or distribute using the Service
- Your radio transmissions or communications
- Claims by third parties arising from your use of the Service

This indemnification obligation survives termination of your account and these
Terms.

14. MODIFICATION AND TERMINATION

14.1 MODIFICATION OF TERMS

We reserve the right to modify these Terms at any time. Material changes will
be communicated via email or Service notification at least 30 days before
taking effect. Your continued use after changes become effective constitutes
acceptance. If you do not agree, you must cancel your subscription.

14.2 MODIFICATION OF SERVICE

We may modify, suspend, or discontinue any aspect of the Service at any time,
including features, availability, or pricing, with or without notice. We are
not liable for any modifications, suspensions, or discontinuations.

14.3 CANCELLATION BY USER

You may cancel your subscription at any time through your account settings.
Cancellation takes effect at the end of your current billing cycle. You will
not be charged for subsequent periods, but no refunds are provided for the
current period.

14.4 TERMINATION BY US

We reserve the right to suspend or terminate your account immediately, without
notice or refund, for:

- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Abuse of the Service or support resources
- Any other reason at our sole discretion

14.5 EFFECT OF TERMINATION

Upon termination:

- Your access to the Service will be immediately revoked
- Your data may be deleted after 30 days (export your data before canceling)
- All licenses granted to you under these Terms will immediately terminate
- You remain liable for all charges incurred before termination
- Sections of these Terms that by their nature should survive will survive
  termination

15. DISPUTE RESOLUTION AND ARBITRATION

15.1 INFORMAL RESOLUTION

Before initiating arbitration or litigation, you agree to first contact us at
[email protected] to attempt to resolve the dispute informally. We will
attempt to resolve disputes in good faith for at least 30 days.

15.2 BINDING ARBITRATION

Any dispute, claim, or controversy arising out of or relating to these Terms
or the Service that cannot be resolved informally shall be settled by binding
arbitration administered by the American Arbitration Association (AAA) under
its Commercial Arbitration Rules.

- Arbitration will be conducted by a single neutral arbitrator
- The arbitration will take place in the United States
- Each party will bear its own costs and fees
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court of competent
  jurisdiction

15.3 CLASS ACTION WAIVER

*** YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU
WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE
ARBITRATION. ***

15.4 SMALL CLAIMS COURT

Either party may pursue a claim in small claims court if the claim qualifies
and remains in small claims court.

16. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of
the State of New York, United States, without regard to its conflict of law
provisions.

You agree that any legal action or proceeding (other than arbitrated claims)
shall be brought exclusively in the federal or state courts located in Nassau
County, New York, and you consent to the personal jurisdiction of such courts.

17. GENERAL PROVISIONS

17.1 ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement
between you and Duck Programs Inc. regarding the Service and supersede all
prior agreements and understandings.

17.2 SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the
remaining provisions will remain in full force and effect, and the invalid
provision will be modified to the minimum extent necessary to make it valid
and enforceable.

17.3 WAIVER

Our failure to enforce any right or provision of these Terms will not
constitute a waiver of that right or provision. Any waiver must be in writing
and signed by an authorized representative of Duck Programs Inc.

17.4 ASSIGNMENT

You may not assign or transfer these Terms or your account without our prior
written consent. We may assign these Terms to any affiliate or in connection
with a merger, acquisition, or sale of assets without restriction.

17.5 FORCE MAJEURE

We shall not be liable for any delay or failure to perform resulting from
causes beyond our reasonable control, including but not limited to acts of
God, war, terrorism, natural disasters, labor disputes, or third-party service
outages.

17.6 EXPORT COMPLIANCE

You agree to comply with all applicable export and import laws and
regulations. You represent that you are not located in a country subject to
U.S. embargo and are not on any U.S. government list of prohibited parties.

17.7 NO AGENCY RELATIONSHIP

No agency, partnership, joint venture, or employment relationship is created
between you and Duck Programs Inc. as a result of these Terms or your use of
the Service.

17.8 NOTICES

All notices to you will be sent to the email address associated with your
account. Notices to us should be sent to [email protected]. Notices are
deemed received 24 hours after sending.
